Anthropic announced on October 18 that it will commit 5 percent of its shares to a newly created Anthropic Public Benefit Fund — an entity designed to grow automatically as the company becomes more valuable, potentially lifting the total share of the company dedicated to public good to roughly 20 percent when combined with earlier pledges.
The commitment, subject to stockholder approval, adds a distinctive structure to the increasingly crowded field of AI-company philanthropy: the fund's stake is ratcheted to the company's valuation rather than fixed at today's numbers.
How the Fund Is Structured
Under the announcement, 5 percent of Anthropic's shares will be committed to the fund today, with an additional 2 percent added at the board's discretion for every 50 percent increase in the company's value above a set baseline. The more Anthropic grows, the larger the slice of the company that is earmarked for public benefit.
The fund will be organized as a wholly-owned LLC rather than a 501(c)(3) nonprofit or another conventional charitable vehicle. Anthropic says the LLC form gives it flexibility to move between different modes of giving — for example, large donations to traditional nonprofits or direct distributions to specific populations affected by AI-driven economic change.
One commitment comes with unusual specificity: none of the equity held by the fund will be used for lobbying or political giving, in the United States or abroad.
Building on Earlier Pledges
The new fund layers onto commitments Anthropic's founders and employees made years ago. When the company was founded, its co-founders pledged to donate 80 percent of their equity holdings. Anthropic has also run an equity donation match program in which employees can pledge equity that the company matches — a program roughly half of Anthropic's employees participate in, according to the announcement.
Combined with the new fund, approximately 20 percent of Anthropic's shares will now be dedicated to public benefit purposes, before any additional allocations triggered by future valuation milestones.
Anthropic framed the move as an alternative to the escalating equity packages tech companies typically use to retain executives. "We are instead directing that equity to the public benefit," the company's announcement reads.
Why a Company That Is Already a Public Benefit Corporation Needs a Fund
Anthropic is organized as a public benefit corporation, a legal structure that requires directors to weigh public benefit alongside shareholder value. Most of that mission work happens inside the company itself, Anthropic says: AI safety and interpretability research, applied biomedical research, and discounted Claude access for nonprofits and scientific institutions — activities that carry both a public-benefit component and commercial value.
The fund, by contrast, is designed for mission work that sits outside the product. The company points to labor market disruption as the leading example: AI may generate enormous economic value while simultaneously destabilizing workers whose jobs are automated. Anthropic says it has already committed $200 million to studying and addressing labor market impacts, but argues that the pace of AI progress may demand "bolder approaches" — large-scale donations or direct cash distributions — that the fund's LLC structure can accommodate.
The Reporting and Governance Roadmap
Details remain deliberately open. Anthropic says it will share more about the fund's structure and governance in the coming months, including the specific valuation milestones that could expand its stake, and will publish a public benefit report assessing its progress against its mission.
That governance detail matters. Escalating commitments tied to valuation are only as credible as the mechanism that enforces them, and the company has yet to name who controls the fund's distributions or how the baseline valuation will be set and audited. The announcement's pledge that the equity will never fund lobbying does address one of the sharpest potential criticisms — that a company's charitable arm could double as a political influence vehicle.
